I believe you can upgrade by going online to microsoft.com
    and download the necessary file.

The tradegy here is usually an old notebook won’t run the new OS worth a damn, and you may have problems getting drivers.

As for the purchase of the new OS, you can search for an upgrade copy, or you may need to just buy a new copy of the OS you desire to run.

brand name has nothing to do with it being updated.
any xp/2000 disk will work, make sure its legal and not a copy.

Any decent computer store, such as online ones:
    http://www.newegg.com (US site)
    or
    http://www.overclockers.co.uk (UK site)

But first make sure the specifications of the laptop meet the minimum requirements for Windows XP at the microsoft website:
    http://www.microsoft.com/windowsxp/home/upgrading/default.mspx

Just about any retailer that sells software IE Best Buy, Circuit City would have upgrade disks. Just be sure you have the resources to run the system. If you go MICROSOFT’S WINDOWS FAMILY website, the information is there to see if you can upgrade, by letting you know hard drive space needed, minimal memory, etc.

I’m making the assumption that your Panasonic laptop has the necessary RAM and HD space to run XP. If so, of course you can go to a retail store and buy the XP upgrade, but they’re also available on ebay at much lower prices. Below is a link to one example, just listed here to show you what I mean. Good luck.
